How an EOOD works
- The owner is liable only up to the capital.
- The sole owner takes the decisions a general meeting would take in an OOD, and can manage the company personally or appoint one or more managers.
- A manager need not be an owner, a Bulgarian citizen or a resident, but must give a notarised specimen signature.
- Limits on a manager’s powers in the articles do not bind third parties.
- The company needs a registered address in Bulgaria.

Capital
The legal minimum is €1. If the founder chooses more, at least 70% must be paid in before registration. A higher capital helps when the company will hold property or borrow from a bank.1,3,2
Companies registered with capital in leva must restate it in euro. The Registry Agency has extended the deadline for amending company documents to 31 December 2028.5
